Terms of service

1. Who you are contracting with

These terms are between you and Userblly LLC, the operator of Userblly. By creating an account or continuing to use the service, you agree to these terms. If you use Userblly for an organization, you confirm you have authority to bind that organization.

2. The service

Userblly is a funding discovery and grant-workflow platform. It helps you find funding opportunities, check eligibility, prepare proposals and track applications. Matches describe eligibility fit from available information. Funders make every decision, and Userblly does not guarantee funding, awards or outcomes.

We grant you a limited, non-exclusive, non-transferable right to use the service within the limits of your plan. You may not reverse engineer the service, resell or redistribute it, or circumvent plan limits or technical controls.

3. Accounts and acceptable use

You are responsible for keeping your account credentials confidential and for all activity under your account. You must provide accurate information and keep it up to date.

You must not misuse the service. That includes unlawful use, fraud or spam, infringing intellectual property, interfering with security or availability (including malware, probing or scraping), and attempting to access another customer's workspace or data.

4. AI features

Userblly includes generative AI features such as matching explanations, assessments and proposal drafting. AI outputs may be inaccurate or incomplete. They are not legal, financial or professional advice, and you must review and verify outputs before relying on them or submitting them to a funder.

You are responsible for the content you provide (including uploaded documents), for having the rights to that content, and for how you use the outputs. You retain rights to your inputs and your outputs. You may not use AI features to produce illegal content, deceptive material, hate speech, malware or attempts to bypass safety controls.

We may remove or restrict content, refuse or filter outputs, and suspend accounts that repeatedly infringe others' rights or violate these rules. Rights holders can report concerns to us at the contact address below.

5. Payments, subscriptions and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Paid plans renew automatically at the interval you selected (monthly or annual) until cancelled. You can cancel anytime through the billing portal in your account settings; cancellation takes effect at the end of the current paid period, and your account and saved work are preserved. One-time credit packs do not renew and remain valid for 12 months from purchase, including after any subscription cancellation.

6. Intellectual property

Userblly LLC retains ownership of the service and its intellectual property, including software, documentation and branding. You retain ownership of your content. You grant us a limited license to host and process your content solely to provide the service to you.

7. Service level and warranties

We work to keep the service reliable but do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Liability

To the fullest extent permitted by law, we are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Our aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing in these terms excludes liability for fraud, death or personal injury where the law does not allow it.

9. Suspension and termination

We may suspend or terminate access for material breach, non-payment, security or fraud risk, or repeated or serious violations of these terms. When access ends, you may request an export of your data; we delete or anonymise account data when it is no longer needed, as described in the privacy notice.

10. General

You may not assign these terms without our consent. We may assign them in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control. If a provision is unenforceable, the rest remain in effect.
